Terms and Conditions

1.The Agreement

The Terms and Conditions in this document, hereafter referred to as the "Agreement" (which includes this document and incorporates any terms and/or provisions stated on individual trip sign-up pages), is between "Sip, See & Soar LLC," hereafter referred to as "Company," and the named person booking a trip, hereafter referred to as "Traveler."

Acceptance of this Agreement by Sip, See & Soar LLC and Traveler shall not constitute the creation, conveyance, transference, conference, or otherwise granting of any rights, authority, ownership, or license in Sip, See & Soar LLC to Traveler by Sip, See & Soar LLC.

2.Deposits, Payments and Cancellations 

A deposit is due at the time of booking. All deposits are non-refundable and non-transferable.

A monthly payment plan will be emailed to travelers upon booking. 

Refunds: All payments to Sip, See & Soar LLC are non-refundable and non-transferable. 

Late Payments: Monthly payments not received within 5 calendar days of the invoice due date will incur a 10% late payment  fee.  If payment is not received within 30 calendar days of invoice date, Sip, See & Soar LLC reserves the right to cancel the booking and retain all payments.  

Payment Disputes / Chargebacks: Traveler agrees not to file a payment dispute or chargeback through their bank or financial institution.  Traveler will instead utilize their trip cancellation insurance in the event that the traveler can no longer attend the trip.  

Cancellations by Traveler: Traveler should email their trip cancellation request to hello(at) sipseesoar.com with the traveler’s full name, destination and travel dates.

Cancellations by Sip, See & Soar LLC:  If we must cancel a trip for reasons unrelated to force majeure,  traveler will have the option to :

  1. Receive a refund of payments made to Sip, See & Soar LLC or

  2. Transfer to a trip of comparable value

3.Release, Indemnification, and Limitation of Liability

Traveler agrees to release, indemnify, and hold harmless Sip, See & Soar LLC, its officers, employees, contractors, vendors, travel guides, assignees, transferees, agents, and any other third parties acting on Sip, See & Soar LLC's behalf against any and all expenses, losses, damages, accidents, injuries, claims, or deaths resulting in whole or in part, either directly or indirectly, from any aspect of travel and/or activities facilitated by Sip, See & Soar LLC. Traveler further agrees that in no event and under no circumstances shall Sip, See & Soar LLC, nor its officers, employees, vendors, guides, contractors, assignees, transferees, agents, and other third parties acting on Sip, See & Soar LLC's behalf, bear any total or aggregate liability (either jointly or severally) under this Agreement that exceeds the amount of total fees paid by Traveler to Company for the particular trip in question.

4.Compliance with Laws

Traveler agrees to abide by all applicable domestic and international laws and regulations in the countries of travel.  If questioning, apprehension, arrest, detainment, punishment, or incarceration by lawful authorities occurs, Sip, See & Soar LLC shall not be responsible or liable, either legally, financially, or otherwise, for Traveler's actions or release.

5. Travel Documents and Insurance

Sip, See & Soar LLC advises Traveler to purchase the necessary and required travel insurance. Traveler understands that all required credentials, visas, permits, insurance, and other travel, medical, and identifying documentation are the sole responsibility and at the sole expense of Traveler. It is Traveler's sole responsibility and sole cost to determine whether Traveler needs a visa or any other document for the trip, the applicable type of visa, and to ensure that the visa is applied for, obtained, and received in time for travel.

6. Photo and Video Release

Traveler grants Sip, See & Soar LLC the right to take photographs, record videos, and/or use social media posts of Traveler in conjunction with travel and/or activities hosted by Sip, See & Soar LLC, before, during, and after such travel and activities. Traveler authorizes Sip, See & Soar LLC, its employees, contractors, assignees, transferees, agents, and any other third parties working on Sip, See & Soar LLC's behalf to copyright, use, and publish such photographs, videos, and social media posts in print and/or electronically. Sip, See & Soar LLC may use such content for any lawful purpose, including publicity, illustration, advertising, promotion, and social media/internet content, without payment of any compensation to Traveler. Traveler acknowledges they do not expect and will not receive financial compensation of any kind associated with the taking, publication, or other use of such photographs, videos, and social media posts. Traveler further releases Sip, See & Soar LLC, its employees, contractors, assignees, transferees, and any third parties acting on Sip, See & Soar LLC's behalf from any liability or claims relating to right of publicity or usage of Traveler's name, likeness, image, voice, or any other identifying trait.

7.Independent Vendors

Traveler understands that Sip, See & Soar LLC offers travel services, events, and activities that are provided by separate and independent vendors. Sip, See & Soar LLC does not operate, control, or otherwise provide the services of these vendors. Traveler understands and agrees that Sip, See & Soar LLC is not responsible for any operating failure, delay, loss, damage, or injury to Traveler, or any resulting claims or damages. Further, Sip, See & Soar LLC does not and cannot guarantee a certain outcome or particular result in conjunction with any travel, activities, or events it arranges. While Sip, See & Soar LLC will use its best professional efforts to achieve a successful outcome, Sip, See & Soar LLC makes no promise, warranty, or guarantee, express or implied, as to a specific outcome, result, or Traveler's expectation, perspective, or experience.

8.Flexibility

Traveler acknowledges that trips of this style and nature require a considerable amount of flexibility.  By booking a trip with Sip, See & Soar, LLC traveler agrees to reasonable changes to the itinerary by Sip, See & Soar LLC.  Traveler understands that itineraries, timelines, schedules, amenities, and transportation may be subject to change without prior notice due to, but not limited to circumstances or events such as strikes, extreme weather, sickness, mechanical breakdowns, incidents in the area where the trip will occur and other unforeseeable circumstances beyond the control of Sip, See & Soar LLC. 

9.Traveler's Responsibility for Personal Safety

Traveler agrees that their safety is primarily their own responsibility. Traveler agrees to ensure they know how to safely participate in activities, and to observe any rules and practices employed to minimize the risk of injury. Traveler agrees to stop and seek assistance if they do not believe they can safely continue, to limit their participation to reflect their personal fitness level, and to refrain from any action that would pose a hazard to themselves or others. Traveler understands that, as with any physical activity, they should check with their doctor prior to participating to verify they are medically able to do so.  Traveler acknowledges any activities in which they participate, and that Sip, See & Soar LLC bears no liability for any activity or outcome that may adversely affect Traveler's health or wellbeing.

10.Waiver of Liability

Traveler agrees to participate in the trip and related activities held and sponsored by Sip, See & Soar LLC, and to release, waive, discharge, and covenant not to sue Sip, See & Soar LLC, its officers, agents, volunteers, contractors, and employees (collectively, "Releasees") from and against any and all liabilities, demands, suits, costs, claims, or injuries, including death, that Traveler may sustain during or in conjunction with the trip or related activities. This is intended to be a full and complete waiver and release of Sip, See & Soar LLC from any liability for damages or injuries that may occur as a result of the trip or related activities, and Traveler is giving up any rights to legal recourse they may have or obtain against Sip, See & Soar LLC or its related parties.

11.Force Majeure

There may be times when either party is unable to perform, or to complete performance, under this Agreement for reasons outside either party's control. These are "force majeure events" and, if they occur, make performance inadvisable, commercially impracticable, illegal, or impossible. Such events include, but are not limited to: acts of God; acts of government; acts of war or civil unrest; insurrection or revolts; military action; strikes or other labor activity; criminal or terrorist activity of any kind, or the threat thereof; pandemics, epidemics, or illnesses or health conditions prevalent in the area of travel; earthquakes, hurricanes, lightning, and explosions; unexpected legislation; or any other event outside the reasonable control of either party. If a force majeure event occurs, the parties will follow the cancellation policies of the relevant suppliers, and this Agreement. Any changes to those policies are at the sole discretion of the supplier (if applicable) and Sip, See & Soar LLC. Travelers will be informed of their options if a force majeure event occurs.

12. Group Conduct

To help ensure a positive group experience, Sip, See & Soar LLC reserves the right to accept, reject, or expel any individual deemed disruptive or incompatible with the interests of the group, including but not limited to individuals who are intoxicated and/or under the influence of drugs in a manner that creates a negative experience for other travelers. Any expenses resulting from such removal, including cancellation fees or costs of alternate travel plans or return transportation, will be borne by the removed traveler. All unused services are non-refundable.

13.Entire Agreement

This Agreement constitutes the entire agreement between the parties. There are no other promises, obligations, or terms and conditions, oral or written, express or implied. This Agreement shall be governed by the laws of the State of Georgia, and the contract is deemed to take place in Gwinnett County, Georgia. In the event of litigation arising from a breach of this Agreement, the losing party shall bear the prevailing party's reasonable attorney's fees. Both parties acknowledge that they have read and understand this Agreement, and voluntarily and fully agree to all terms and conditions set forth within. This Agreement shall bind the heirs, assigns, and successors of Traveler.

14.Term

This Agreement shall be in effect from the date the Traveler books a trip and shall remain in effect into perpetuity, covering all future travel, activities, or events in which Traveler participates that are affiliated in any way with Sip, See & Soar LLC.
